Terms of Use
Last updated: September 27, 2026
1. Who We Are And These Terms
VYRAL is operated by Ratio Labs, Inc., a Delaware corporation ("VYRAL," "we," "us," or "our"), with a mailing address at 169 Madison Ave., Suite 94369, New York, NY 10016, United States. These Terms govern your access to and use of the VYRAL mobile app, websites, campaign tools, creator services, and related services (collectively, the "Service").
By creating an account, selecting a campaign, submitting content, or otherwise using the Service, you agree to these Terms and the campaign rules presented to you. If campaign-specific rules conflict with these Terms, these Terms control unless the campaign rules expressly state otherwise and applicable law permits it.
2. Eligibility And Your Account
You must be at least 18 years old, have reached the age of legal majority where you live, and be legally able to enter into these Terms. You must provide accurate information, use only accounts you are authorized to use, keep your credentials secure, and promptly update information that affects your eligibility or payouts. You are responsible for activity under your account.
Creator participation is permitted only in the following Tier 1 countries:Australia, Austria, Belgium, Canada, Denmark, Finland, France, Germany, Ireland, Luxembourg, the Netherlands, Norway, Sweden, Switzerland, the United Kingdom, and the United States. For these Terms, "Tier 1 countries" means exclusively this list; no other country is eligible. You must actually reside in a listed country and be physically located in a listed country while participating in campaigns. Campaigns may impose a narrower list of eligible countries.
Your nationality, an address or bank account in an eligible country, a social-account region setting, or an audience in an eligible country does not by itself establish eligibility. You must provide complete and accurate information about your true identity, residence, and location, promptly correct inaccurate information, and stop participating if you no longer meet these requirements. You must not conceal or misrepresent that information or use a VPN, proxy, borrowed identity, false documents, or other means to appear eligible when you are not.
Participation in violation of these country requirements, or concealment, misrepresentation, or failure to disclose your true identity, residence, or location, will result in a permanent ban from creator participation and a freeze of pending and unpaid payouts once the violation is established, whether the violation or inaccurate or incomplete disclosure was intentional or unintentional. Enforcement and the treatment of frozen payouts are subject to Section 10 and mandatory applicable law.
Sign in, campaign access, and payout services may require additional identity, tax, country, social-account ownership, fraud, or payment verification. We may refuse or limit access where verification is incomplete or where we reasonably identify legal, security, fraud, platform-policy, or campaign-integrity risks.
3. What VYRAL Does
VYRAL helps creators discover or apply to campaigns, review content briefs and examples, connect public social-media identities, submit links to content posted on third-party platforms, track public performance metrics, communicate about campaigns, and receive eligible creator payouts. A listed campaign, application approval, invitation, CPM rate, budget, example, or estimated result is not a promise that any submission will be accepted or paid.
Unless applicable law requires otherwise, you participate as an independent creator and not as our employee, agent, partner, or joint venturer. You decide whether to participate and are responsible for your equipment, costs, taxes, licenses, and compliance obligations.
4. Submissions Do Not Create A Payment Right
Submitting content does not mean it has been accepted and does not create a right to payment. A submission must satisfy the campaign brief, content format, timing, country and account requirements, third-party platform rules, applicable law, and any other requirements shown for the campaign. Meeting stated minimum requirements does not by itself require VYRAL or a campaign sponsor to approve a submission.
VYRAL and the relevant campaign sponsor retain discretion to assess campaign fit, quality, brand suitability, originality, authenticity, performance validity, rights clearance, safety, legal compliance, available budget, and compliance with the campaign rules and these Terms. We may approve, reject, hold, remove, or stop tracking a submission. Subject to mandatory law, we are not contractually required to provide a detailed explanation. We may provide a status or general reason as a courtesy or where required by law, without disclosing confidential brand information, security controls, fraud detection methods, or legally restricted information.
A review status marked "approved" is preliminary, not final. We may reopen review and revoke an earlier approval before payout if later information indicates, or we reasonably suspect, artificial or purchased engagement, metric manipulation, duplicate submissions, inaccurate data, deletion or material modification of content, account or content inaccessibility, rights or legal issues, campaign rule violations, provider or scraper errors, returns or chargebacks, or another integrity or compliance issue. This remains true even if the issue is discovered after approval or while metrics continue to be tracked.
Rejected, cancelled, reversed, invalid, or ineligible submissions do not earn compensation. Unpaid amounts associated with them may be cancelled. If an amount was paid because of fraud, manipulation, duplicate payment, material error, or other invalid activity, we may correct the record and, where permitted by law, recover or offset that amount against future payouts. Nothing in these Terms allows us to withhold compensation that has become finally due under mandatory law.
5. Metrics And Estimated Earnings
By linking a social account or submitting a content URL, you authorize VYRAL and its service providers to retrieve and repeatedly process public account and content information, including views, likes, comments, shares, publication time, availability, and related metadata, for campaign administration, review, fraud prevention, and payout calculation.
Views, progress, accruing amounts, expected earnings, and similar amounts displayed before final payout validation are informational estimates only. They may appear while a submission is pending, held, rejected, or otherwise ineligible. They are not an account balance, wage statement, promise, debt, or confirmation that a submission or its views qualify for payment. Third-party metrics may be delayed, incomplete, unavailable, or corrected.
Payment calculations use only qualifying metrics under the campaign rules and may be limited by minimum thresholds, measurement windows, CPM rules, campaign or creator caps, available budget, country and account eligibility, and final validation. Artificial, purchased, incentivized, duplicated, misattributed, unavailable, or otherwise invalid engagement is excluded.
6. Payout Eligibility And Timing
An amount becomes eligible for payout only after VYRAL completes its review and validation, the submission remains eligible, all required thresholds and hold periods are satisfied, sufficient verified campaign budget is available, and the amount is placed into a payout process. An approved submission alone does not complete those steps.
Any "next expected payout date," payout cycle, processing date, or similar date shown in the Service is a non-binding estimate, not a guaranteed payment date. It can change because of review or validation, minimum payout thresholds, compliance or fraud holds, missing or inaccurate payout information, tax or identity checks, provider or bank processing, weekends or holidays, technical incidents, returned payments, campaign disputes, or other reasonable operational or legal requirements.
We aim to include finalized eligible amounts in the next practicable payout cycle, but we may delay, split, retry, hold, cancel, or reverse a payout where reasonably necessary to resolve one of the issues above. We may limit the explanation where disclosure would undermine fraud prevention, security, confidentiality, or legal obligations. If applicable law requires payment by a specific deadline, that mandatory deadline controls.
You must maintain an accurate, supported payout method and provide requested identity, tax, or payment information. Revolut, banks, and other providers may impose their own eligibility, regional, fee, currency, risk, and processing requirements. A payout is not complete until the provider confirms delivery. You are responsible for taxes and reporting obligations arising from your participation and payouts.
7. Prohibited Conduct
You must not:
- buy, sell, exchange, automate, or artificially inflate views, engagement, accounts, or traffic;
- use bots, click farms, misleading redirects, duplicated content, or other manipulation;
- submit content or an account you do not own or control, or submit the same work through multiple accounts;
- delete, hide, materially change, or make submitted content unavailable during a required tracking period;
- infringe intellectual property, privacy, publicity, music, or other rights;
- omit disclosures required for sponsored or branded content;
- misrepresent your identity, country, eligibility, payout details, or performance;
- circumvent campaign limits, security, review, verification, or enforcement measures; or
- use the Service unlawfully, abusively, or in violation of TikTok or another third-party platform's rules.
8. Content And Intellectual Property
You retain ownership of content you create, subject to rights in campaign materials and third-party content. You represent that you have all rights, permissions, releases, and licenses needed to create, post, submit, and keep the content available, including rights for music, footage, voices, likenesses, and personal information.
You grant VYRAL, the campaign sponsor, and their service providers a worldwide, non-exclusive, royalty-free license to access, retrieve, copy, store, display, review, analyze, and otherwise process submitted content and related public metrics as reasonably necessary to operate, administer, verify, secure, document, and support the campaign and Service. This license continues for retained campaign, accounting, fraud, dispute, and legal records after the submission or account is removed.
Campaign briefs, examples, logos, media, and other campaign assets remain owned by VYRAL, the sponsor, or their licensors. You may use them only as authorized for the applicable campaign and must stop when that authorization or campaign ends.
9. Communications And Third-Party Services
The Service may include campaign chat, links, imported examples, payment services, Apple services, TikTok, and other third-party services. Their terms and privacy practices also apply to your use of them. We do not control third-party availability, moderation, metric changes, account actions, or processing times.
You may receive operational messages about account security, submissions, campaigns, chats, and payouts. Push notifications can be disabled through your device settings, although disabling them may cause you to miss time-sensitive updates.
10. Suspension, Removal, And Account Deletion
For the country-eligibility and identity-disclosure violations described in Section 2, we will permanently ban the creator from participation and freeze pending and unpaid payouts while we determine which amounts, if any, remain payable. Amounts attributable to ineligible participation may be cancelled to the extent permitted by law. A freeze is not an automatic forfeiture of all earnings: compensation that is finally due under mandatory law will be paid within any legally required deadline. Where required by law, we will provide notice, reasons, review, and an opportunity to contest the decision. You may contact us using Section 16 if you believe an eligibility finding is incorrect.
You may leave campaigns, sign out, or request account deletion using available settings. We may remove or ban you from a campaign, hold submissions or payouts, restrict features, suspend, or terminate an account for violations or reasonably identified legal, security, fraud, payment, platform-policy, brand-safety, or campaign-integrity risks. Where applicable law requires reasons, notice, human review, or a method to contest a decision, we will provide those protections.
Account closure does not erase obligations or records that must be retained for payments, accounting, fraud prevention, disputes, or legal compliance. Sections that by their nature should survive will survive, including payment corrections, licenses for retained records, disclaimers, liability limits, and dispute terms.
11. Privacy
Our Privacy Policy explains how we collect, use, disclose, and retain personal information. It is part of these Terms by reference.
12. Service Availability And Disclaimers
To the maximum extent permitted by law, the Service is provided "as is" and "as available." We do not guarantee uninterrupted access, campaign availability, acceptance, a particular number of views, earnings, payout opportunity, social-platform availability, or error-free third-party data. Nothing in these Terms excludes any warranty or right that cannot lawfully be excluded.
13. Limitation Of Liability
To the maximum extent permitted by law, VYRAL and its officers, directors, employees, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost opportunities, lost profits, loss of data, or third-party platform actions arising from the Service. Our aggregate liability arising from the Service will not exceed the greater of US$100 or the amount paid or finally payable to you through VYRAL during the 12 months before the event giving rise to the claim.
These limits do not apply to finally due creator compensation, fraud or willful misconduct, gross negligence, death or personal injury caused by negligence, data-protection liability that cannot be limited, or any other liability that applicable law does not allow us to exclude or limit.
14. Governing Law And Disputes
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. Courts located in New York County, New York will have jurisdiction, except where mandatory law gives you the right to bring a claim elsewhere or applies the laws of your country of residence. Nothing in these Terms waives mandatory worker, freelancer, consumer, platform, privacy, or other statutory rights or a right to seek an effective remedy.
15. Changes
We may update these Terms to reflect product, campaign, legal, or security changes. We will post the revised date and provide additional notice where required. Material changes apply prospectively after the stated effective date. Your continued use after that date constitutes acceptance where permitted by law; otherwise, we will request renewed agreement.
